Truestock Universe Private Limited (“Truestock”, “we”, “us”, or “our”) is a private limited company incorporated under the laws of India, having its registered office at Plot No. Z-2, Near HDFC Bank, M.P Nagar, ZONE-1, Bhopal, Madhya Pradesh – 462011. Truestock is a financial technology company that builds investment technology platforms.

AxeCap is a financial technology platform and brand owned and operated by Truestock. An AxeCap portfolio is a curated collection of listed securities such as stocks and other securities, constructed to reflect a specific objective, theme, or strategy.

Role of SEBI-registered Managers
Portfolios on AxeCap are created and managed by SEBI-registered entities such as Investment Advisers and Research Analysts (“Managers”). Truestock provides the technology platform and back-end infrastructure to these SEBI-registered intermediaries and other third parties to enable discovery, subscription, and transaction facilitation in these portfolios through investors’ own broker accounts (via integrated APIs, where available). Certain portfolios may be shown on the AxeCap website and app based on specific arrangements between Truestock and the respective Managers.

Truestock / AxeCap does not issue any research recommendations or investment advice on its own. Any research views, recommendations, or advice visible on the AxeCap platform are solely those of the SEBI-registered entities authorised to provide them. For detailed disclosures by these entities, investors should refer to the factsheet or disclosure section of their respective portfolios.

Nature of Information and Data
All reports, research material, stock baskets, model portfolios, and related data provided through the AxeCap website, app, or other channels are tools to display information about portfolios listed by Managers on the platform.

• Charts, indices, and performance figures may not account for transaction fees, brokerage, taxes, slippage, or other associated costs.
• Data used for analysis or historical calculations is generally obtained from reputed third-party sources or publicly available information and may not have been independently verified or audited by Truestock or other Managers.

AxeCap, as a platform, is not a Portfolio Management Service (PMS), Investment Adviser, Broker, or Distributor. Truestock and other Managers do not provide personalised investment advice through AxeCap or recommendations that take into account each user’s specific financial situation, objectives, or risk profile, unless explicitly stated under a separate regulated engagement.

Consideration / Remuneration
Truestock and the Managers do not receive compensation from issuers of securities covered in their research for the purpose of preparing or publishing such research on AxeCap.

Revenues for Truestock and/or the Managers may arise from, among other things:

• Subscription fees paid by users for access to research, model portfolios, or premium features;
• Platform fees, listing fees, or revenue-sharing arrangements between AxeCap and Managers.

We do not publish research or recommendations in exchange for compensation from issuers intended to influence the content of such research. Any material commercial relationships, where required, will be disclosed in the relevant documents by the respective Manager.

Affiliations with Intermediaries
AxeCap may integrate with brokers or other intermediaries via APIs or technology partnerships to enable users to view holdings or place orders.
However:

• Truestock and AxeCap do not act as a stock broker, depository participant, or mutual fund distributor to investors using the platform.
• We do not recommend or promote the services of any broker or intermediary in return for commissions or referral benefits unless such arrangements are clearly disclosed.

Any affiliations or commercial relationships with intermediaries that require disclosure will be dealt with in accordance with applicable regulations.
